1. Acceptance of Terms

By accessing or using the TeamEd mobile application (the “App”), the TeamEd website at ntsteamed.com, or any related NTS Data web properties (collectively, the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Service. Your continued use after any modification constitutes acceptance of the revised Terms.

2. Description of the Service

TeamEd is an election-day voter check-in system developed and operated by NTS Data Services, LLC (“NTS Data,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of New York. The App is designed for use by authorized poll workers at school district polling places to verify voter eligibility, record check-ins, capture digital signatures, and synchronize election records.

3. Eligibility & Authorization

The Service is intended exclusively for individuals who are (a) at least eighteen (18) years of age and (b) authorized by a participating school district to serve as poll workers or election administrators. By using the Service, you represent that you meet both requirements. Unauthorized access to or use of the Service is prohibited.

4. User Responsibilities

As an authorized user, you agree to: use the Service only for its intended election-administration purpose; safeguard your login credentials and not share them with any unauthorized person; immediately report any suspected unauthorized access or security incident to your election administrator and to NTS Data; comply with all applicable federal, state, and local laws — including New York Education Law and New York Election Law — in your use of the Service; and refrain from any attempt to copy, reverse-engineer, modify, or interfere with the operation of the App or any data it processes.

5. Election Data & Integrity

The App processes voter registration data, check-in records, digital signatures, ballot stub numbers, and audit-trail logs. You acknowledge that this data is entrusted to you for election-administration purposes only and that misuse, unauthorized disclosure, or tampering with election data may violate New York law. NTS Data maintains an immutable audit trail of all check-in and undo operations to support election integrity.

6. Intellectual Property

All software, design, documentation, trademarks, and other content associated with TeamEd and the Service are the property of NTS Data Services LLC or its licensors and are protected by applicable copyright, trademark, and intellectual-property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as authorized herein.

7. Privacy

Your use of the Service is also governed by the TeamEd Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, secure, and retain information processed through the App — including voter registration data, check-in records, and digital signatures. We do not sell, rent, or share voter data with third parties, and the App contains no advertising SDKs, third-party analytics, or tracking technologies.

8. Third-Party Links

The Service or related websites may contain links to websites operated by third parties. We do not control, endorse, or assume responsibility for the content or practices of any third-party site. Accessing a linked site is at your own risk.

9. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While we employ industry-standard security measures — including AES-256 encryption at rest, TLS encryption in transit, and secure credential storage — we do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Election administrators are responsible for maintaining contingency procedures as required by applicable law.

10. Limitation of Liability

To the fullest extent permitted by New York law, NTS Data Services LLC, its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Service — including but not limited to loss of data, interruption of election operations, or device failure — even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims arising under or related to these Terms shall not exceed the fees paid by your school district to NTS Data for the applicable election cycle in which the claim arose.

11. Indemnification

You agree to indemnify, defend, and hold harmless NTS Data Services LLC and its officers, members, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of your unauthorized use of the Service, your violation of these Terms, or your breach of any applicable law in connection with your use of the Service.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the “Last Updated” date above. It is your responsibility to review these Terms periodically.

15. Program Description

NTS Data Services LLC may send text messages (SMS or MMS) to authorized poll workers and election administrators in connection with TeamEd election-day operations. Messages may include election-day logistics, system notifications, schedule updates, training reminders, and other communications related to the administration of school district elections (each, a “Program”).

16. Consent & Opt-In

By providing your mobile telephone number and affirmatively opting in by entering your phone number into the TeamEd application opt-in form, or other documented means — you expressly consent to receive text messages from NTS Data Services LLC related to TeamEd and the Program you selected. Consent is not a condition of employment, service as a poll worker, or access to any goods or services. You must be the account holder or authorized user of the mobile number you provide.

Message frequency varies by Program and is typically limited to the election cycle. The approximate frequency will be disclosed at opt-in. Message and data rates may apply. Consult your wireless carrier’s rate plan for details. NTS Data is not responsible for any charges your carrier may impose.

We will not send Program messages before 8:00 a.m. or after 9:00 p.m. in the recipient’s local time zone, consistent with the federal Telephone Consumer Protection Act (47 U.S.C. § 227) and New York General Business Law § 399-z.

21. Carrier & Device Compatibility

Text-message Programs are supported on most major U.S. wireless carriers. Service may not be available on all carriers or devices. We are not liable for delayed or undelivered messages caused by carrier networks, device incompatibility, or factors outside our control.

22. SMS Data Collection, Use & Sharing

When you opt in to a Program, we collect your mobile telephone number and any additional information you voluntarily provide at the time of enrollment. We use this data solely for administering the Program — including sending messages, processing opt-out requests, and complying with legal obligations. We do not sell, rent, or share your opt-in data or mobile telephone number with third parties for their marketing purposes. Opt-in data and consent records are not shared with or disclosed to any third party except as required by law or as necessary to deliver the messages you have consented to receive (e.g., our messaging-platform provider operating on our behalf under contract).
